PPFAS Group Structure

The PPFAS group structure denotes the integrated set of corporate entities, operating divisions and educational platforms that together constitute the PPFAS franchise in India. The core consists of three legally distinct entities arranged in the standard three-tier Indian mutual fund framework prescribed under the SEBI Mutual Funds Regulations, 1996 : the broking and advisory firm Parag Parikh Financial Advisory Services Limited (PPFAS Ltd) as sponsor; the asset management company PPFAS Asset Management Private Limited as the SEBI-registered investment manager; and PPFAS Trustee Company Private Limited as the trustee for the mutual fund trust. The mutual fund itself, PPFAS Mutual Fund , is a Trust constituted under the Indian Trusts Act, 1882.

Beyond the three-tier mutual fund stack, the PPFAS group also operates the discretionary Cognito Portfolio Management Service under PPFAS Limited (launched October 1996, currently closed to new clients), and the educational and investor-engagement platform Financial Opportunities Forum at ppfasfof.com. Underlying all five operating units is a family-controlled ownership structure inherited from founder Parag Parikh , who founded the broking practice in 1979 and incorporated PPFAS Limited as a public limited company on 12 December 1992. Following his death in May 2015, leadership of the group passed to his son Neil Parag Parikh , who serves as Chairman and Chief Executive Officer of the asset management company while the family retains majority shareholding in PPFAS Limited as an unlisted public company.

The group is professionally managed by a cohesive team led by Neil Parikh as Chairman and CEO, Chief Investment Officer Rajeev Thakkar , Head of Research Raunak Onkar and a debt-fund-management team comprising Raj Mehta , Mansi Kariya , Tejas Soman and Aishwarya Dhar . The equity-fund-management team includes Rukun Tarachandani alongside Rajeev Thakkar and Raunak Onkar.

Corporate stack

The PPFAS group corporate stack, in order of incorporation, is:

  1. Parag Parikh Financial Advisory Services Limited (PPFAS Ltd) , an unlisted public limited company incorporated on 12 December 1992 under the Companies Act, 1956. Corporate Identification Number (CIN) U67190MH1992PLC068970. Registered office historically at Great Western Building, Fort, Mumbai; presently at Sakhar Bhavan, Nariman Point, Mumbai. PPFAS Ltd is the sponsor of PPFAS Mutual Fund and the operator of the Cognito Portfolio Management Service.

  2. PPFAS Trustee Company Private Limited , a private limited company. CIN U65100MH2011PTC221203. The trustee company holds the trust corpus of PPFAS Mutual Fund in trust for the unit-holders and oversees the AMC’s compliance with the SEBI Mutual Funds Regulations, 1996 .

  3. PPFAS Asset Management Private Limited , a private limited company incorporated on 8 August 2011 under the Companies Act, 1956. The AMC is the SEBI-registered investment manager appointed under the Investment Management Agreement and manages all seven open-ended schemes of PPFAS Mutual Fund. AMFI member ID 64.

  4. PPFAS Mutual Fund itself, an Indian Trust constituted under the Indian Trusts Act, 1882 and registered with SEBI on 10 October 2012 under SEBI Registration ID MF/069/12/01.

The three-tier structure satisfies the separation-of-functions requirement under SEBI Mutual Funds Regulations , under which the sponsor (PPFAS Ltd), the trustee (PPFAS Trustee Company) and the investment manager (PPFAS AMC) must be legally distinct entities, although they may be commonly owned subject to specified independence norms for the trustee board.

Parag Parikh Financial Advisory Services Limited

Parag Parikh Financial Advisory Services Limited is the longest-tenured entity in the group. It traces its origin to a brokerage firm founded by Parag Parikh in 1979 at the age of 25 and was incorporated as a public limited company on 12 December 1992 under the name “Parag Parikh Financial Advisory Services Limited”. The company is registered as a stockbroker with SEBI and historically held membership on the Bombay Stock Exchange and the National Stock Exchange .

PPFAS Ltd is the sponsor of PPFAS Mutual Fund in the regulatory sense. As sponsor, PPFAS Ltd contributed the initial capital of the AMC, has a regulatory undertaking to remain associated with the AMC for the prescribed minimum period under SEBI MF eligibility conditions and has historically committed proprietary capital alongside unit-holders in the mutual fund schemes (the so-called “skin in the game”), documented at PPFAS sponsor commitment and skin in the game .

Beyond its sponsor role, PPFAS Ltd continues to operate as a stockbroking and advisory firm and as the operator of the Cognito PMS. Its shares are not listed on a recognised stock exchange but trade in the unlisted shares grey market , at platforms such as Altius Investech and Unlisted Zone. The family of the founder, led by Neil Parikh, retains majority shareholding.

PPFAS Asset Management Private Limited

PPFAS Asset Management Private Limited , incorporated 8 August 2011, is the SEBI-registered investment manager of PPFAS Mutual Fund. As of May 2026 the AMC manages approximately Rs 1,75,000 crore of assets under management across the seven open-ended schemes, of which the flagship Parag Parikh Flexi Cap Fund accounts for approximately Rs 1,60,952 crore.

The AMC’s registered office is at 81/82, 8th Floor, Sakhar Bhavan, Ramnath Goenka Marg, 230, Nariman Point, Mumbai 400 021. The office was shifted from the Great Western Building at Fort to Sakhar Bhavan with effect from 14 August 2017. The composition satisfies the SEBI MF board independence norms requiring at least 50 per cent independent directors on the AMC board.

PPFAS Trustee Company Private Limited

PPFAS Trustee Company Private Limited , incorporated 2011, is the trustee for PPFAS Mutual Fund. CIN U65100MH2011PTC221203. The trustee company is the legal owner of the trust corpus of PPFAS Mutual Fund and holds it on behalf of unit-holders. Its role under SEBI MF Regulations is to supervise the AMC’s compliance with the regulations, the Investment Management Agreement, the Trust Deed and the Scheme Information Documents of the seven schemes.

The trustee company files a half-yearly trustee report with SEBI, holds the annual meeting of unit-holders’ representatives (the unit-holders’ meet held at Birla Matushree Sabhaghar in Mumbai is the most well-known scheme-level engagement, while the trustee’s statutory meeting is separate), and reviews compliance with the SEBI MF compliance audit framework. The trustee’s board comprises a majority of independent trustees, as set out in the PPFAS Trustee Company Private Limited reference.

Cognito Portfolio Management Service

The Cognito Portfolio Management Service is the discretionary Portfolio Management Service launched by PPFAS Ltd in October 1996. Cognito was one of the earliest SEBI-registered PMS schemes in India and was managed as a value-investing equity strategy by Parag Parikh and later by Rajeev Thakkar. At its peak in the early 2010s, Cognito managed approximately Rs 300 crore of client assets. Cognito has been closed to new client onboarding for over a decade, and the existing client corpus continues to be managed under a continued mandate.

The launch of PPFAS Mutual Fund in 2013 effectively transferred the bulk of new-client equity-investing demand to the mutual fund vehicle. Cognito is significant within the PPFAS group structure because it represents the institutional continuity of the value-investing methodology applied at PPFAS over four decades.

Financial Opportunities Forum

The Financial Opportunities Forum (FoF) is a PPFAS-run educational and investor-engagement platform hosted at ppfasfof.com. The FoF publishes presentations, analyses and commentary by members of the PPFAS team on themes including value investing, behavioural finance and macroeconomic developments. It functions as an extension of the PPFAS investor education programme and the PPFAS Knowledge Centre .

FoF events are typically held in Mumbai and several other Indian cities and have featured speakers including Rajeev Thakkar, Raunak Onkar, Raj Mehta, Mansi Kariya and external thought leaders from the Indian and global investing community. Recorded sessions are made available on the PPFAS Mutual Fund YouTube channel .

The FoF brand is operated separately from the AMC’s Knowledge Centre at amc.ppfas.com/knowledge-center/ to maintain a clearer separation between the AMC’s mandatory disclosures and the more open-ended educational content of FoF. The platform reflects the strong continuity of the founder’s pedagogical commitment, including the influence of his two published books “Stocks to Riches” (2005) and “Value Investing and Behavioral Finance” (2009).

Family-controlled ownership

The PPFAS group is family-controlled, with the founder Parag Parikh holding majority shareholding in PPFAS Limited from incorporation in 1992 until his death in May 2015. Following his death, ownership of the sponsor entity passed to his immediate family, with leadership passing to his son Neil Parag Parikh . The family-controlled structure is comparatively unusual within the Indian mutual fund industry, where most AMCs are owned by listed financial-services conglomerates (HDFC AMC , Nippon India AMC , Aditya Birla Sun Life AMC ) or by bank-promoter groups (SBI Funds Management , ICICI Prudential AMC , Kotak Mahindra AMC , Axis AMC ).

The family-controlled ownership underpins three structural features of the AMC:

  1. Patient capital and absence of short-term AUM pressure: Because the AMC is not under listed-equity quarterly-earnings pressure, the management team can take long-term decisions including holding cash holdings of 18 to 25 per cent in PPFCF when valuations are unattractive, and declining to launch sectoral or thematic schemes purely for AUM optics.
  2. Sponsor capital co-invested alongside unit-holders: Sponsor entities PPFAS Ltd and the family of the founder have historically co-invested in the AMC’s open-ended schemes alongside retail unit-holders, an arrangement formally documented under PPFAS sponsor commitment and skin in the game and consistent with the philosophical influence of Berkshire Hathaway.
  3. Generational continuity: The transition of leadership from Parag Parikh to Neil Parag Parikh in 2015 was managed without external interim CEO appointments. The founding team led by Rajeev Thakkar and Raunak Onkar continued in their roles through the transition, providing institutional continuity.

The family-controlled ownership is similar in spirit to that of Quantum Mutual Fund (associated with Ajit Dayal’s family-led structure) and structurally different from the listed-AMC structures dominant in the Indian industry.

The most recent structural development affecting the PPFAS group is the opening of the Borivali (West) Investor Service Centre on 19 February 2026, taking the AMC’s branch footprint to 13 cities across India. The 12th annual unitholders’ meet was held on 22 November 2025 at Birla Matushree Sabhaghar in Mumbai, where the management team led by Neil Parikh confirmed continuity of the family-controlled ownership structure and discussed the launch of the Parag Parikh Large Cap Fund in February 2026.

No material changes have been announced to the corporate stack, the family-controlled ownership or the role of PPFAS Limited as sponsor. The trustee company board renewals and the AMC board renewals proceed on the prescribed SEBI MF compliance audit calendar.
